Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us if you suspect unauthorized account use.

Acceptable Use

• • Use OurVaults only for lawful, authorized family and personal archiving purposes.
• • Do not upload harmful, malicious, or unlawful content.
• • Do not attempt to bypass security controls or access another account's data.
• • Respect permissions and sharing roles set by account administrators.

Service Availability and Changes

We work to keep the service reliable and secure, but availability may be affected by maintenance, updates, third-party outages, or events outside our control. We may update features, pricing, and plan limits from time to time, with changes communicated through the app or website.

No Warranty and As-Is Service

To the maximum extent permitted by law, OurVaults is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.

Data Loss and Backup Responsibility

While we implement security and operational controls, you acknowledge there is always risk of data loss, corruption, delay, or inaccessibility due to technical faults, third-party failures, cyber incidents, force majeure events, or user actions. You are solely responsible for maintaining independent backup copies of any content that is critical to you. To the maximum extent permitted by law, Associate (Global), OurVaults, and their personnel are not liable for any loss, corruption, deletion, or failure to recover data.

Limitation of Liability

To the maximum extent permitted by law, Associate (Global), OurVaults, and their directors, officers, employees, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages, or for any business interruption, reputational damage, or loss of data, arising out of or in connection with your use of the service.

Where liability cannot be excluded, our total aggregate liability for any and all claims arising out of or related to the service is strictly capped at the amount of fees you paid for your current monthly subscription term immediately preceding the event giving rise to the claim. This cap applies regardless of the legal theory and even if a remedy fails of its essential purpose.

Indemnity

You agree to defend, indemnify, and hold harmless Associate (Global), OurVaults, and their directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from or related to your content, your use of the service, your breach of these terms, or your violation of any law or third-party rights.

Intellectual Property

You retain ownership of the content you upload. By using OurVaults, you grant us the limited rights needed to store, process, protect, and deliver that content as part of the service.

Termination

We may suspend or terminate access if these terms are violated or if required for security, legal, or operational reasons. You may discontinue use at any time, subject to applicable billing terms.

Governing Law and Jurisdiction

These terms are governed by the laws of South Australia, excluding conflict-of-law principles. You and Associate (Global) submit to the exclusive jurisdiction of the courts of South Australia for any dispute arising out of or in connection with the service or these terms.

General Legal Protections

If any provision of these terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right. These terms constitute the entire agreement regarding use of the service and supersede prior understandings related to that subject matter.
